General Terms and Conditions
Effective from 21 October 2026
1. Provider
The Bid-Win service is sold, and contracts with customers are concluded, by ADAIA s. r. o., Tri hôrky 3, 040 11 Košice, Slovakia, company ID (IČO) 57052182, registered in the Commercial Register of the Municipal Court Košice, section Sro, file no. 67374/V (the "provider"). Contact: hello@bid-win.com.
The service is operated technically for the provider by BIT Technology s.r.o., Trstínska cesta 9, 917 01 Trnava, Slovakia, company ID (IČO) 50627228, tax ID (DIČ) 2120398973, VAT ID SK2120398973, registered in the Commercial Register of the District Court Trnava, section Sro, file no. 38931/T.
These terms apply to entrepreneurs and legal entities (the "customer"). The service is not intended for consumers.
2. The service
Bid-Win searches public sources for public tenders and grants, uses artificial intelligence to score how well they match the customer's profile, performs an in-depth analysis of tender documents, pre-fills documents and delivers the results by email or WhatsApp. The scope of the service is set by the order or the contract.
The outputs of the service are supporting information. They are not legal, tax or other professional advice. The customer decides whether to submit a bid and what it contains, and is responsible for that decision.
The provider does not guarantee that public sources are complete or correct, that every suitable opportunity will be found, the outcome of any tender, or the availability of third-party services such as public procurement portals or AI providers.
3. Conclusion of the contract
The contract is concluded when the provider confirms the order or when the contract is signed. If the customer has an individual contract with the provider, its provisions take precedence over these terms.
4. Price and payment
The price and the billing period follow the order, the contract or the current price list. Prices are stated without VAT. VAT is added to the price where the provider applies it under applicable law.
The service is invoiced in advance for each billing period. Invoices are due within 14 days of issue unless agreed otherwise.
If the customer is late with payment, the provider may suspend the service after prior notice by email until payment is made. The obligation to pay for that period remains.
5. Trial period
If a trial period is agreed, it is free of charge and gives no entitlement to a contract, to a particular scope or to continuation of the service. The provider may end it at any time.
6. Customer obligations
- Provide true and up-to-date information about the company and the profile the service uses to find opportunities. The customer is responsible for the consequences of an untrue or incomplete profile.
- Not give third parties outside the customer's company access to the service or its outputs without the provider's consent.
- Not use the outputs for further distribution, resale or to provide a similar service to others.
- Protect access credentials and report any misuse without undue delay.
7. Confidentiality and data protection
The provider uses documents and data supplied by the customer only to provide the service and does not publish them. AI processing takes place with providers that do not train their models on the customer's data.
The processing of personal data is described in the Privacy Policy at bid-win.com/privacy.
8. Intellectual property
The software, scoring methodology, databases and other parts of the service belong to the provider. The customer acquires no rights to them other than the right to use the service for the term of the contract.
The customer may use the outputs of the service for the needs of its own business.
9. Liability
The provider's total liability for damages is limited to the amount the customer paid the provider for the service in the 3 months before the damage occurred.
The provider is not liable for lost profit, indirect or consequential damages, the outcome of any public procurement or grant call, or errors, gaps or unavailability of public sources and third-party services.
These limitations do not apply to damage caused intentionally or by gross negligence, or in other cases where the law does not allow liability to be limited.
10. Availability
The service is provided as is. The provider may temporarily restrict the service for maintenance, updates or third-party outages. A service level (SLA) is guaranteed only if it is expressly agreed in the contract.
11. Term and termination
The contract is concluded for the period stated in the order or the contract. Unless agreed otherwise, either party may terminate it by email with effect at the end of the current billing period.
Either party may terminate the contract with immediate effect if the other party materially breaches its obligations and does not remedy the breach within a reasonable period after notice. A material breach includes in particular payment more than 30 days late or a breach of section 6.
The price for a period already paid is not refunded on termination.
12. Changes to these terms
The provider may change these terms. It will notify the customer of a change by email at least 30 days before it takes effect. If the customer does not agree with the change, it may terminate the contract with effect from the date the change takes effect.
13. Final provisions
Contractual relations are governed by the law of the Slovak Republic, in particular the Commercial Code. Disputes are decided by the competent courts of the Slovak Republic.
The parties communicate primarily by email. The provider's notices are sent to the customer's email address stated in the order or the contract.
